SHARP MEMBERS User Agreement
for Thailand, the Philippines, Singapore and BangladeshThis SHARP MEMBERS User Agreement (hereinafter called the "Member Agreement" or the "Agreement") describes the user conditions upon which you use the SHARP MEMBERS service provided by SHARP Corporation (hereinafter called "SHARP"). SHARP provides you this service based on the Member Agreement, so make sure to thoroughly read this Agreement and to agree to its contents before you use. Further, your personal information given when using this service is handled based on the "SHARP MEMBERS Privacy Policy" separately provided on this site.
Article 1 (Objectives)
SHARP operates the members site "SHARP MEMBERS" (hereinafter called the "Site") to provide various services to customers who are using SHARP products.
Article 2 (Definitions)
The terms used in this Member Agreement are as defined below.
- "Member" means a person or persons who has or have completed member registration through the methods instructed by SHARP, and whose membership has been approved by SHARP following the necessary investigations, and to whom a Member ID, etc., has been assigned.
- "Member ID, etc." means the member ID, which is the name specified by the customer during member registration to distinguish between users, combined with the password to authenticate the individual Member together with the member ID.
- "Service" means all the services that can be used by a Member on this Site following personal authentication using their Member ID, etc.
- "Individual regulations" means the individual agreements presented for each service, including this Service, the operating regulations, and any of the other various regulations posted by SHARP at any time either online or using any other methods.
- "Linked service" or "Linked services" means the websites (excluding this Site) or services designated on this Site which become available to a Member who has registered his or her name, e-mail address and password through member registration and completed personal authentication using their Member ID, etc.
Article 3 (Compliance, Application, and Changes to this Member Agreement)
- You shall accept and comply with this Agreement to use this Site and its Services, and shall complete your personal authentication to use Linked services.
- The Individual regulations constitute part of this Member Agreement. If there is any conflict between the Individual regulations and this Member Agreement, the Individual regulations shall prevail.
- SHARP may propose to change this Member Agreement and its Individual regulations by notifying Member using the methods determined in Article 11. If you do not withdraw this membership using the methods determined in Article 9 within 30 days after the date of such notification, then the change will be deemed to have been accepted by you..
- Any claims arisen due to ignorance of the Member Agreement will not be accepted or considered.
Article 4 (Receipt and Approval of Member Registration Applications, and Methods for Using the Services)
- SHARP determines through a necessary review process whether to accept or reject your application for member registration received in a manner separately designated by SHARP. Further, If you are a minor, you are required to obtain the approval of your parent or legal representative before application for member registration.
- If SHAPR find any of the following matters applied to you, SHARP may reject
your member registration application.
- If there is a false declaration or inadequacy in the required fields of application form
- If you are an applicant who was previously stopped to use this Service in whole or in part in accordance with Member Agreement Article 10 Paragraph 1., or whose member registration was deleted
- If you are already a Member of this Site
- If a person registered as a member registration applicant in your application does not exist
- If SHARP judges the applicant to be unsuitable as a Member for any other reason
- If your member registration application is refused for any of the reasons described in the preceding paragraph, SHARP will notify you of the fact. However, the reasons for refusal will not be disclosed.
- Members shall be individual persons who use SHARP products and reside in Malaysia, Indonesia, Singapore, Vietnam, Philippines, Thailand, India and Bangladeshi.
- If SHARP approves your member registration application, SHARP will notify you thereof when the application procedure is completed. Further, the approval of your member registration application shall take effect when SHARP notifies you thereof, and you shall then become a Member.
Article 5 (Available Services)
- When you register your name, post code and country of residence, you will be available to this Service and also to the relevant Linked services after authenticating your identity by using your Member ID etc.. Further, there will be a case that additional designated procedures are required in order to use the Linked services.
- If you do not register all of the items specified in the preceding paragraph, some or all of the functions of this Service or Linked services are restricted.
Article 6 (Adding Member Registration Information)
If you are a Member who did not register all of the items referred in Article 5-2 above, you may become available to this whole service without any restriction by adding your date of birth, sex, and phone number in a manner designated by SHARP after SHARP’s approval of your membership through its necessary review process.
Article 7 (Using and Managing Member IDs, etc.)
- You shall use your Member ID, etc., complying with this Agreement, the Individual regulations and other methods notified by SHARP or posted on this Site.
- You shall not disclose your Member ID, etc., to a third party.
- You shall not give or lend your Member ID, etc., to a third party or use your Member ID, etc., as collateral. Further, the rights given under this Member Agreement shall not be transferable.
- If this Service is used through your Member ID, etc., all actions shall be deemed as your actions.
- You shall make inquiries to SHARP when you forget your Member ID, etc. in the designated procedures.
- If you find that your Member ID, etc. is stolen, lost, or used by a third party, you shall notify SHARP immediately and follow any instructions given by SHARP.
Article 8 (Report of Changes to the Registration Items)
If the registered items, such as name, e-mail address, password, etc. are changed, you shall report the changes promptly in a manner designated by SHARP.
Article 9 (Withdrawal)
- If you wish to withdraw this membership, you shall notify SHARP thereof in accordance with the designated procedures. You can withdraw this membership from the day when SHARP completes the withdrawal procedures.
- If your withdrawal procedures are deficient, such as not notifying SHARP of changes to a member's registration information, it may not be possible to complete the withdrawal procedures.
- After your withdrawal, you cannot use this Service or any Linked service with your Member ID.
Article 10 (Suspension of Use of the Service and Deletion of Member Registration)
- In any of the following cases, SHARP may suspend your use of the Service
either in whole or in part without prior notice, or delete your member registration.
- If SHARP finds that your member registration application was based on false information
- If you breach this Member Agreement, the Individual regulations, or use methods determined by SHARP
- If SHARP judges that Article 15 (Prohibitions) apply to your actions
- If SHARP judges that your action is impeding this Service, or that your action is unsuitable to this Service
- If SHARP judges you are not suitable as a Member for any other reason
- If you do not use this Service for 2 years or longer, and after SHARP has notified you beforehand in accordance with Article 11, your member registration may be deleted by SHARP.
- If your member registration is deleted as per Paragraphs 1 and 2 above, you will become unable to use either this Service or any other Linked services.
Article 11 (Notifying and Contacting Members)
- SHARP will notify or contact you by the way which SHARP considers as suitable based on your registered information in the member registration application in Article 4 or the e-mail address, address, and phone number, etc., which are specified by you in the notification of changes in Article 8.
- SHARP may post any notifications to all Members on this Site instead of using the methods described in paragraph 1 when SHARP posts a notification to all Members.
- Notifications and contacting Members, regardless of whether or not they reach you, shall be deemed to have reached you when SHARP mails your e-mail address if using the methods determined in Paragraph 1, and when posted to this Site if using the methods in Paragraph 2.
Article 12 (Providing and Ending this Service, etc.)
- The details of this Service and its methods of use, etc., are posted to this Site.
- This Service is provided based on the Member Agreement, the Individual regulations and the use methods determined separately on this Site.
- SHARP may suspend this Site and this Service, or add, change, or partially
abolish the type and content of this Service without notifying you beforehand.
Notwithstanding the above, any changes of Services due to changes of this Member Agreement shall be subject to the methods described in Article 3 paragraph 3. - After having notified the Members at least 30 days in advance using the methods described in Article 11, SHARP may terminate this Site and individual authentication systems using Member IDs, etc., and this Service entirely.
Article 13 (Using Linked Services)
Use of this Site and Linked services may be disabled due to the disabling of individual authentication caused by a system failure of this Site.
Article 14 (Responsibilities for Facilities, etc.)
- You shall bear your own costs and responsibility for the preparation of all communications devices, software and other instruments necessary to use this Service, as well as the provision of a communications environment such as joining an internet connection service and all concomitant measures. SHARP shall bear no responsibility for use of this Service being disabled due to malfunctions in the devices or internet connection, etc.
- SHARP will not remodel, change, or add to the equipment, systems, and software etc. regarding this Service, or change the methods by which the Service is provided, for the purpose of assuring their compatibility to all communications equipment, software, and other ancillary devices used by Member when using this Service.
- You shall acknowledge and agree in advance that there is a risk that use of the Service may be impeded either in whole or in part if you don’t have the communications environment, software, etc., recommended by SHARP for use of this Service.
Article 15 (Personal/Non-Commercial Use)
Unless otherwise specified, this Service is for personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any content made available via the Service.
Article 16 (Prohibitions)
In using the Services on this Site, you are prohibited to implement any of the following actions. Further, SHARP may stop to provide the Service or take other suitable measures if SHARP judges that you have implemented or you are at risk of implementing the following actions with regard to the Service.
- Actions that infringe the rights (including privacy, reputation, trust, and intellectual property rights such as copyright, etc.), or the assets and profits of other Member, SHARP, or a third party
- Actions that libel or slander other Member, SHARP, or a third party
- Actions that violate the law or public morals, or actions that provide the information to violate public morals
- Actions that violate this Agreement, the Individual regulations, or the use methods determined separately on this Site
- Actions that illegally use the IDs, etc., of other Members
- Actions that use or upload harmful programs such as computer viruses, etc., to this Site,this Service or to the servers involved with SHARP management
- Actions that provide counterfactual information
- Actions that manipulate the information provided through this Site or Service
- Actions that aim to make profits from this Site or Service without the approval of SHARP
- Actions that give or loan to a third party, or use as collateral, all or some of the rights for using this Service and other rights obtained through points, regardless of whether or not a fee is charged
- Electioneering or other similar actions
- Criminal activities or actions linked to criminal activities
- Religious proselytizing and other religious activities to spread a religion
- Actions that hinder the operations of this Site, Service, and Linked services
- Any other actions that SHARP judges to be unsuitable
Article 17 (Handling of Copyright, etc.)
- Copyright and all other intellectual property pertaining to the images and text (hereinafter called "Information") provided by this Site and Service belong either to SHARP or to the providers of the Information.
- You shall not use the Information provided via this Site and Service beyond the scope of personal use as a Member stipulated by copyright law without the approval of the rights holder.
- You shall not use or publish the Information provided via this Site and Service as a third party without the approval of the rights holder.
Article 18 (Subcontracting)
SHARP may subcontract the operations of this Site and Service to a third party wither in whole or in part.
Article 19 (Handling Personal Information)
Your personal information given when using this Service is used suitably and managed strictly based on the "Privacy Policy for SHARP MEMBERS Users ".
Article 20 (Proposals, etc., to SHARP)
SHARP shall handle any technical or commercial proposals, or anything similar, submitted to this Site's operations office as described below.
- SHARP shall not evaluate or discuss, etc., the content of any submissions.
- SHARP shall not be under any obligation to treat the content of any submissions as confidential.
- Even if the content of a submission resembles or duplicates proposals rolled out, developed, and adopted by SHARP either in whole or in part, SHARP shall bear absolutely no responsibility, including the payment of considerations, etc.
Article 21 (Exemption from liabilities)
- SHARP cannot in any way be responsible for the accuracy or conformance to specific objectives of any information, etc., acquired from the Member through this Site or Service. Further, SHARP shall bear absolutely no responsibility, to the maximum extent permitted by applicable law, for any damages incurred by either a Member or a third party arising from this information, etc.
- Items among the goods and services, etc., provided by this Site and Service that are provided by a third party other than SHARP are provided at the responsibility of the relevant third party, and SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, for the contents of these goods and services or for disputes over rights infringements, etc., arising between the third party and a Member.
- SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, for disputes arising between Members, or between a Member and a third party, regarding the information provided via this Site and Service.
- The responsibility for any damages incurred by a Member due to misuse of their Member ID, etc., insufficient management, or illegal use by a third party, etc., belongs to the Member, and, to the maximum extent permitted by applicable law, SHARP shall bear no responsibility whatsoever.
- If any changes occur to the contents of items notified to SHARP, such as a Member's name, post code, e-mail address, phone number, SHARP devices owned, etc., SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, even if the Member incurs loss of profits by failing to implement the designated notification procedures promptly.
- SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, even if a Member suffers loss of profits due to the deletion of their member registration based on Article 10 (Suspension of Use of the Service and Deletion of Member Registration). Further, SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, to recover lost or deleted information.
- SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, to any Member for loss of profits due to the suspension or termination of this Service, or due to additions, changes, or partial modifications and deletions, etc., to the type and content of this Service based on Article 12-3. and 12-4. (Providing and Ending this Service, etc.)
- SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, for loss of profits due to a Member being unable to use this Site or Linked services caused by a system malfunction of this Site.
- SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, to any Member regarding damages based on the communications devices, software, and internet connection, etc., used by a Member that occur when using this Service.
- SHARP shall bear no responsibility, to the maximum extent permitted by applicable law, for problems arising from Member violations of the regulations in Article 17 (Handling of Copyright, etc.)
Article 22 (Limitation of Liability)
IN NO EVENT WILL SHARP AND/OR ITS AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA OR USE OR OTHER LOSS ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS, "HANDLING PERSONAL INFORMATION", THE SERVICE AND/OR ANY CONTENT PROVIDED THEREIN OTHER THAN LOSSES DUE TO THE NEGLIGENCE OF SHARP AND/OR ITS AFFILIATES. THIS PARAGRAPH SHALL APPLY REGARDLESS OF WHETHER THE THEORY OF LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, BREACH OF WARRANTY, STRICT LIABILITY. YOU HEREBY RELEASE SHARP AND/OR ITS AFFILIATES FROM ANY AND ALL OBLIGATIONS, LIABILITIES AND CLAIMS IN EXCESS OF THIS LIMITATION.
FOR THE AVOIDANCE OF DOUBT, THE PROVISIONS UNDER THIS CLAUSE 22 SHALL ONLY BE APPLICABLE TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAWS.
Article 23 (Member Responsibilities)
- If you cause any harm to a third party, or a dispute arises between you and a third party, regarding the use of this Service, resolution shall be at your own costs and responsibility to the maximum extent permitted by applicable law.
- If you cause any harm to SHARP regarding this Service and its use, you shall pay the requisite damages.

Article 25 (Prohibition of Assignment of Rights and Obligations)
You shall not assign, lend or otherwise dispose of your rights and obligations under this Agreement.
Article 26 (Governing law and Jurisdiction)
- This Agreement shall be governed by the laws of Japan and shall be interpreted according to Japanese law.
- For any disputes between the customer and SHARP regarding this Agreement or the Service, The Osaka District Court shall be the exclusive court of the first instance.
Article 27 (Force Majeure)
SHARP shall in no way be liable for any delay or failure in its performance to the extent such delay or failure is caused or is a result of acts beyond SHARP's reasonable control, including, but not limited to, acts of God, fire, flood, earthquake, accident, riot, war, government intervention, terrorism, embargoes, strikes, labor difficulties, equipment failures, cyber attack by third party, system failure caused by third party, or any other causes beyond the control of SHARP.
Article 28 (Waiver/Severability)
SHARP's waiver of any breach or right under this Member Agreement shall not be deemed a waiver of any other or subsequent breach or right. If any provision of this Member Agreement is found to be invalid or unenforceable, such provision shall be changed and interpreted so as to best accomplish the original intent of the provision to the fullest extent permitted by law and the remaining provisions shall remain in full force and effect.
Article 29 (Entire Agreement)
This Member Agreement constitute the entire agreement between you and SHARP concerning the use of this Service and supersede any and all statements or other agreements, whether oral or written, between you and SHARP. This Member Agreement may not be altered, edited, supplemented or amended in any manner and any such alteration, edit, supplement or amendment shall be null and void, unless first agreed to by you and an authorized representative of SHARP in writing.
Article 30 (Language)
This Member Agreement are prepared in English or other languages. If there are any discrepancies among them, the English version shall prevail.

1. About this notice
We will process your personal data in compliance with every applicable law and any laws that replace them in the future.
In this privacy policy (“Privacy Policy”), we provide information based on such laws related to processing your personal data. This Privacy Policy sets out the basis on which any personal data that you provide to us will be collected and/or processed by us. Please take the time to read and understand this Privacy Policy.

SHARP is a corporation engaged in technology, telecommunications, and related business activities.
3. Definitions
In this Privacy Policy:
- your “personal data” means any data which relates to you and from which you can be identified;
- our “affiliates” means our subsidiaries;
- “processing” means any activity or operation that is carried out in respect of your personal data, such as collecting, storing, using, transferring or deleting it;
- “APP” means the application named “SHARP COCORO HOME” and/or named “SHARP AIR APP” for SHARP brand appliance connected to wireless adapter or with a built-in wireless adapter;
- “Service” means the service provided by SHARP and SHARP group companies to you who are using SHARP brand appliance through our membership website; and
4. How we collect your personal data and what personal data we collect
We will collect and process the following personal data about you (collected through SHARP MEMBERS registration site).
Such information generally includes:
- your name;
- e-mail address;
- password;
- Membership ID;
- sex;(f) date and month of birth; and
- postal code
There may be circumstances where the provision of our service results in collecting other types of personal data from you. If so, then we will protect such personal data to the same high standards explained in this Privacy Policy and take any additional steps necessary to ensure we process such personal data in accordance with applicable laws.
- Where you provide your consent, we use Google Analytics cookies to collect information about how you use APP.
- We make sure you cannot be directly identified by Google Analytics data. We will not combine analytics information with other data sets in a way that would directly identify who you are.
We use the information we collect through Google Analytics to see how you use the APP and to see how well the APP performs on your Target Device.

- Where you provide your consent, we may use cookies to collect certain your personal data automatically from your Target Device when you visit our sites through APP, such as your IP address, device type, unique device identification number, browser type, broad geographic location (e.g., country or city-level location) and other technical information.

We collect these information to gain better understanding of the visitors to our site, where they come from and what content on our sites is of interest to them. 5. Legal basis and purpose of processing personal data
If any data protection law applicable to the relationship between you and us requires a legal basis for processing your personal data, we will process your personal data based on one or more of the following legal bases:
Consent. This is where you have given consent for us to process your personal data. However, even if we obtain consent from you, we may process your personal data based on other legal grounds. The withdrawal of your consent (please see Section 10(g) of this Privacy Policy below) shall not affect the lawfulness of processing performed based on the consent before your withdrawal.
Performance of a contract. This is where we need to process your personal data to perform the contract we enter into with you.
Legitimate Interests. This is where the processing of your personal data is necessary for legitimate interests pursued by us or a third party and your interests and fundamental rights do not override those interests.
Legal Obligation. Where it is necessary for us to process your personal data for purposes of compliance with legal obligations, pursuant to the laws and regulations of your country of residence.
We use the personal data that we hold about you for the following purposes:

We do not process your “sensitive data” (information about your race, ethnic origin, religion, physical or mental health, political opinions, sexual life, any actual or alleged criminal offences, and genetic and biometric data).
Where we cannot rely on legitimate interests, legitimate use grounds, or other applicable legal exemptions to process your personal data, we will obtain your consent before carrying out such processing. Where SHARP processes your personal data based on consent, SHARP will obtain such consent through an appropriate method, which may include a tick-box, electronic confirmation, account setting, consent banner, pop-up notice, or other method made available through the APP, SHARP MEMBER site, or other relevant channel.
You may withdraw your consent by using the relevant account or CLIENT MEMBERS site settings, where available, or by contacting SHARP using the contact details set out in Section 2 or Section 14. The withdrawal of consent will not affect the lawfulness of processing carried out before such withdrawal. After withdrawal, certain functions or services may be unavailable where the relevant processing is necessary to provide those functions or services.
6. Disclosure of personal data to recipients
We may share your personal data with recipients in the situations described below:
- Internal Use for us: Employees of us or our affiliates who are authorized and need to access these data.
- Affiliates: We share your personal data with our affiliates for internal administrative purposes and uses that are consistent with this Privacy Policy.
- Third party service providers: We share your personal data with third party service providers who provide services to us for the purposes set forth in “5. Legal basis and purpose of processing personal data” above, including cloud hosting providers, IT infrastructure providers, analytics providers, customer support providers, membership account management providers, authentication service providers, security providers, and other vendors supporting the operation of the SHARP MEMBERS site, membership account, SHARP MEMBER ID, APP activation process. The third party service providers may process personal data on behalf of SHARP and in accordance with SHARP’s instructions.
- Legal Process and Safety: We may disclose your personal data to legal or government regulatory authorities as required by applicable law. We may also disclose your personal data to third parties as required by applicable law in connection with claims, disputes or litigation, when otherwise required by applicable law, or if we determine its disclosure is necessary to protect the health and safety of you or others, or to enforce our legal rights or contractual commitments that you have made.
- Business Transfers: Your personal data may be disclosed as part of a corporate business transaction, such as a merger, acquisition, joint venture, or financing or sale of company assets, and could be transferred to a third party as one of the business assets in such a transaction. It may also be disclosed in the event of insolvency, bankruptcy or receivership.
Data Sharing under Japanese Law
In accordance with Japanese law, we may share personal data among us and our affiliates in the framework of data sharing under Article 27(5)(iii) of the Act on the Protection of Personal Information, the details of which are specified as follows.

7. Transfers of personal data outside your country of residence

8. Security Control Measures
We implement necessary and appropriate measures to administer access to personal data, limit taking-out of personal data and prevent unauthorized access from outside with intent to prevent personal data from being leaked, lost or damaged and safely control personal data.
Personal data may be stored and managed in SHARP’s systems, servers, databases, cloud environments, and/or systems operated by SHARP’s affiliates or service providers. 11. Connection between Service Use and the Information Provided
When you use this service, it is necessary to provide your personal data to SHARP. Be aware that if you do not wish to provide this information, some function of the service may be unavailable and SHARP may not be able to process your personal data for the purposes set out hereof.
12. Handling if Acquisition of Applicable Device Use Information, Sensor Information, and External Use Information Stops
- If you delete the registration of an applicable device registered to use the service, or initializes the relevant applicable device, SHARP will stop acquiring your personal data for the relevant applicable devices, after such deletion.
- Even if your registration or registration of your personal data for the relevant applicable devices is deleted, SHARP may keep and use your personal data for the relevant applicable devices before such deletion.
13. Changes to the Privacy Policy
- SHARP may review the operating status concerning the handling of your personal data with the aim of better protecting your personal data or in response to changes in the law or other regulations, and may change the Privacy Policy without prior notice as necessary.
- SHARP shall notify you of the details after any changes to the Privacy Policy by posting to this support site, and will handle your personal data (including items acquired before the changes) based on the changed Privacy Policy to the limits proscribed by law. The details of changes to the Privacy Policy will take effect from the time the changes are posted to this support site. After the changes take effect, customers using the service shall be viewed as having agreed to the details of the agreement changes.
